Terms of Service
These Terms of Service ("Terms") govern your use of CovaNode, including the website at covanode.com and the web application at covanode.app (together, the "Service"). The Service is provided by Mohammad Dayel, an individual sole proprietor based in Jeddah, Saudi Arabia ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it.
1. The Service
CovaNode is a hosted, software-as-a-service work-management platform providing databases, documents, whiteboards, automations, reports and AI-assisted features. We may improve, change or discontinue features over time; we will give reasonable notice of material changes that reduce paid functionality.
2. Accounts
- You must provide accurate information and keep your login credentials secure.
- You are responsible for all activity under your account and your organization.
- You must be at least 16 years old, or the age of digital consent in your country, to use the Service.
3. Plans, payment and taxes
The Service offers a Free plan and paid subscription plans described on our Pricing page. Paid plans are billed in advance on a recurring monthly or annual basis per member (seat) of your organization, and renew automatically until cancelled.
Our order process is conducted by our online reseller Polar Software, Inc. ("Polar"), which acts as the Merchant of Record and authorized reseller of CovaNode subscriptions. Polar handles payment collection, invoicing, sales tax/VAT and the processing of refunds. Your purchase is also subject to Polar's Buyer Terms. These Terms are the "Supplier Agreement" referred to in those Buyer Terms: Polar's Buyer Terms govern the payment, and these Terms govern your licence to use the Service.
Before you pay, checkout shows the price, the billing interval (monthly or annual), and that the subscription renews automatically. Charges recur at each renewal until you cancel.
When members are added to or removed from a paid organization, the seat quantity is adjusted and pro-rated charges or credits apply. Prices may change with at least 30 days' notice before your next renewal.
4. Cancellation and refunds
You may cancel at any time from Settings → Billing by switching to the Free plan; access to paid features continues until the end of the current billing period and no further renewal charges are made. You can also ask us to cancel by emailing support@covanode.com. Refunds are governed by our Refund Policy.
5. Your content
You keep all rights to the data and content you put into the Service ("Customer Content"). You grant us a limited license to host, process and display Customer Content solely to provide and support the Service. You are responsible for having the rights to the Customer Content you upload. You can export or delete your content, and deleting your organization removes its content from production systems, with backups expiring on their normal rotation.
6. Acceptable use
You agree not to: break the law or infringe others' rights; upload malware; attempt to access other customers' data or probe, disrupt or overload the Service; resell the Service without our written permission; use the Service to send spam; or use AI features to generate unlawful or harmful content. We may suspend accounts that violate these rules.
7. AI features
AI features send the relevant content to third-party model providers to generate output. AI output can be inaccurate; review it before relying on it.
8. Availability and support
We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. Support is provided by email at support@covanode.com.
9. Disclaimers
Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, or your statutory rights as a consumer.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms, with notice where reasonable. On termination you may request an export of your content within 30 days.
12. Changes to these Terms
We may update these Terms. We will post the new version here and, for material changes, notify account owners by email at least 14 days before they take effect.
13. Governing law
These Terms are governed by the laws of the Kingdom of Saudi Arabia, without prejudice to mandatory consumer protection rules of your country of residence.
